2009 Asia ADR Voting Study

Proxy Distributions for Non-US Issuers using Notice & Access

As a result of the amendments to the proxy rules ('U.S. Notice and Access') contained in The Securities and Exchange Act of 1934 ('Exchange Act') introduced by the U.S. Securities and Exchange Commission (SEC) earlier this year, U.S. companies may make proxy materials available to their shareholders electronically using a 'Notice and Access' model for proxy solicitation. The purpose of this information note is to provide our clients with information on Notice and Access and its implications for Depositary Receipt ('DR') issuers.
